Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ReelVenue Inc. ("ReelVenue," "we," "us," or "our") governing your use of the SetDots application and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the activity under your account and for keeping your sign-in credentials secure. You agree to provide accurate information and to keep it up to date.

2. Subscriptions, Billing & Cancellation

• Creating and managing projects and shoots requires a paid subscription. Viewing a shoot shared with you is free.
• Subscriptions are billed monthly in advance through PayPal at the plan price shown at checkout. Plans and prices may change on a prospective basis with notice.
• You may cancel at any time. Cancellation stops future billing; you retain access through the end of the period you have already paid for, after which paid features are disabled. Except where required by law, payments are non-refundable.
• Plan limits (such as the number of active projects or shoots) apply as described in the Service.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Upload content that is infringing, defamatory, harassing, or that violates others' privacy;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Resell, sublicense, or misrepresent your right to use the Service.

We may suspend or terminate accounts that violate these Terms.

4. Your Content

You retain all rights to the production content you submit ("Your Content"). You grant ReelVenue a limited, worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to operate and provide the Service to you and the collaborators you authorize. You are responsible for Your Content and for having the rights necessary to share it, including any personal information about cast and crew.

5. Intellectual Property

The Service, including its software, design, branding, documentation, and generated documents and templates (such as call sheets and reports), is owned by ReelVenue Inc. and protected by copyright and other laws. © 2026 ReelVenue Inc. All rights reserved. Except for the rights expressly granted to you, no license to our intellectual property is conveyed by these Terms.

6. Third-Party Services

The Service integrates with third-party providers (including Google, PayPal, Pusher, and mapping and weather services) and may link to third-party products such as smart lighting and hardware. Your use of those services is governed by their own terms, and we are not responsible for them.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU ARE RESPONSIBLE FOR ON-SET SAFETY AND FOR VERIFYING CRITICAL INFORMATION INDEPENDENTLY.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REELVENUE INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless ReelVenue Inc. and its officers, directors, and employees from any claims, damages, or expenses arising out of Your Content, your use of the Service, or your violation of these Terms.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of California. You agree that the state and federal courts located in California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue in those courts.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
